1. Who these terms are between

These Terms & Conditions ("Terms") form the agreement between Tsopani LLC ("Tsopani," "we," "us"), a limited liability company organized under the laws of [State], and each guest who reserves a place on a Tsopani Field Trip ("you," "the guest").

Reserving a place — by paying a deposit or full payment — means you have read, understood, and agreed to these Terms. If you are reserving on behalf of others, you confirm you have authority to accept these Terms on their behalf and are responsible for communicating them.

2. What you are buying

Your reservation is limited toincludes what is listed as "Included" on the trip page at the time of booking. No other food, transportation, or any other benefit is included in your trip fee. e For The Greek Traverse this is currently: all accommodations for the trip duration; all local transportation within Greece; professional guiding and climbing instruction; a fishing-boat experience with a fresh-caught meal; all meals except those noted as personal; and cultural programming as described.

Not included: international travel to and from Greece; travel and adventure-sports insurance (required — see §7); personal expenses; alcoholic beverages except where included in group meals; gratuities [decide: included or expected? — clarify before publishing]; and any activities or experiences added at your request.

The trip page, together with any confirmation email we send you, is the authoritative description of what is included. If there is a conflict between marketing materials and the trip pageyour confirmation, the trip pageconfirmation prevails.

3. Deposits and payment

Reservation deposit: $2,000 per guest, due at time of booking. Your deposit is non-refundable except as expressly stated in these Terms (see §4 for the 7-day grace period; §5 for cancellation by us).

Founding Deposit credit. In the specific circumstances set out in §4, a forfeited deposit converts to a Founding Deposit credit rather than being retained. When a deposit converts:

• The credit equals the full $2,000 paid.

• The credit does not expire.

• The credit may be applied toward any future Tsopani Field Trip.

• The credit may be transferred, one time, to a person you name in writing, subject to that person accepting these Terms at the time of use.

• Credits are not redeemable for cash.

Credit conversion is available only where §4 expressly provides for it. In all other cases the deposit is forfeited without conversion.

Balance. The remaining balance of the trip  price is due 30 days after your booking date, or 30 days before trip start., whichever is earlier. If you book within 30 days of trip start, the full trip price is due at time of booking.

Currency and fees: All amounts are in U.S. dollars. You are responsible for any bank, card, or currency-conversion fees your provider charges.

[Legal note for counsel: (a) whether "non-refundable" holds under the guest's state law and under Greek/EU package-travel rules that may apply; (b) whether "credit that never expires" needs to sit on the balance sheet as a liability, and any tax implications — see also the outstanding-credits cap in the operations checklist; (c) chargeback exposure — recommend adding a covenant that guest agrees not to initiate a chargeback for amounts governed by these Terms without first requesting resolution; (d) this §3 is drafted specifically for Field Trip No. 01, which opens for booking inside a normal 90-day window. For future trips launched more than 30 days out, this section will need revision back to a standard schedule (typically balance due 90 days before trip start). Advise whether this trip-specific language belongs in the general Terms or should be pulled into a "Field Trip No. 01 Addendum" that overrides §3 and §4 for this trip only, leaving the general Terms clean for reuse.]

4. Cancellation by you

You may cancel your reservation at any time, in writing (email to [contact address]). The date we receive your written notice is the cancellation date.

Because Field Trip No. 01 opens for booking fewer than ninety (90) days before its start date, the cancellation windows below are measured from your booking date and from the trip start date. Where two windows apply, the stricter applies.

7-day grace period. If you cancel within seven (7) days of your original booking, we will refund your deposit in full.

Founding Deposit window: day 8 through day 21 from booking, and more than 60 days before trip start. You forfeit your $2,000 deposit, which converts in full to a Founding Deposit credit under §3. Any additional amounts you have paid are refunded in full.

After day 21 from booking, or 60 days or fewer before trip start. You forfeit your $2,000 deposit. It does not convert to Founding Deposit credit. Balance amounts are refunded on the following schedule:

• 60–31 days before trip start: 50% of amounts paid beyond the deposit refunded.

• 30 days or fewer before trip start: no refund. Your travel insurance (§7) is the intended safety net. We will provide documentation to support your insurance claim.

Transfers. Up to thirty (30) days before trip start, you may transfer your reservation to another person, subject to our written approval,  (which we will not unreasonably withhold) and to the transferee accepting these Terms. A transfer administration fee of [$250] applies.

[Legal note for counsel: (a) this trip opens for sale inside its own 90-day window — the tier structure compresses the standard schedule to accommodate that and to protect a small operator's ability to refill a cancelled seat. Confirm defensibility, particularly under EU package-travel rules (Directive (EU) 2015/2302), which limit "reasonable" cancellation fees. (b) The Founding Deposit credit is deliberately available only for early, decisive cancellations; after day 21 or inside 60 days, the deposit is forfeited outright. Advise whether the two-axis test (days from booking AND days from trip) creates enforceability risk versus a single-axis schedule. (c) Confirm interaction between the 7-day grace period and bookings made inside 7 days of trip start. (d) The 50% mid-tier is intended to reduce challenge risk versus a flat 100% inside 60 days; advise whether further tiering is warranted.]

5. Cancellation by us

If we cancel a trip for any reason — including failure to reach minimum enrollment, force majeure, or a decision by us that the trip cannot safely proceed — you will receive a full refund of every amount you have paid to us, including your deposit, without conditions and without exception.

You may alternatively elect, in writing, to apply the full amount as credit toward a future Tsopani Field Trip.

We are not responsible for any other costs you incur in connection with the trip — including but not limited to airfare, other travel arrangements, visa or passport fees, insurance premiums, or lost wages. We strongly recommend travel insurance that covers trip cancellation.

Minimum group size: [8] guests. We will notify you of a cancellation for insufficient enrollment no later than sixty (60) days before trip start.

[Legal note for counsel: this "no conditions" language is the single most guest-facing sentence we publish and is critical to our first-trip trust posture. Advise on any language required to preserve enforceability without weakening the commercial promise.]

6. Changes to the itinerary

The published itinerary is our intended plan. Weather, guide judgment, local conditions, and force majeure events may require changes. We reserve the right to modify the itinerary — including accommodations, routes, activities, and daily sequencing — when we determine, in our sole and reasonable discretion, that a change is necessary or advisable.

Where reasonably possible we will provide substitutions of comparable quality. Modifications made in the field are not grounds for a refund.

Substantial changes: if a change made before the trip start date materially alters the trip (e.g., a change of region, or a shortening of the trip by more than one day), you may elect either (a) to accept the modified trip, (b) to transfer to another Tsopani Field Trip, or (c) to cancel and receive a full refund of amounts paid.

7. Insurance (required)

Travel and adventure-sports insurance is required for every guest.

Because Field Trip No. 01 opens for booking close to its start date, timing of your insurance purchase matters:

You must purchase your policy within fourteen (14) days of your booking date. Most trip-cancellation policies exclude pre-existing medical conditions unless purchased within a short window of the initial deposit; the 14-day window above is intended to preserve that coverage.

You must provide proof of coverage to us no later than thirty (30) days before trip start, or, if you book inside 30 days of trip start, within seven (7) days of booking.

Your coverage must include, at minimum: (a) trip cancellation and interruption, (b) emergency medical and evacuation appropriate to your travel destination, and (c) coverage for rock climbing as an included activity — many standard policies exclude climbing, and this is your responsibility to verify.

We will recommend a vetted provider at booking whose policies are available on the timeline above and include climbing coverage. We are not a licensed insurance broker or agent; the choice of policy and its adequacy for your circumstances is your responsibility. We are not liable for gaps in your coverage.

If you fail to provide proof of adequate coverage by the deadline in this section, we reserve the right to cancel your reservation, in which case the cancellation-by-you provisions of §4 apply.

8. Fitness, ability, and the nature of the trip

The Greek Traverse involves rock climbing, hiking on uneven terrain, boat travel, and daily physical activity at varying intensity. It is not appropriate for guests who cannot meet the physical requirements described on the trip page.

By reserving, you represent that:

• You are physically fit for the activities described;

• You are comfortable climbing outdoors on sport routes at an intermediate level;

• You have disclosed to us any medical condition, injury, medication, or dietary requirement that may affect your participation [intake form process referenced here — link when built];

• You will follow the reasonable instructions of Tsopani guides and staff throughout the trip.

We reserve the right, in our sole and reasonable discretion, to limitrefuse participation in any activity — or to remove any guest from the trip — where we determine that participation would present an undue risk to the guest, to other guests, or to our staff. No refund is due in the event of removal for cause.

9. Assumption of risk, release, and waiver

[This section requires specialist drafting by counsel familiar with adventure-sports liability in each applicable jurisdiction. Rock-climbing waivers are among the most heavily litigated areas of outdoor-industry law, and enforceability varies widely by state and country. Do not draft this section from a template.]

At minimum, counsel to address:

• Guest acknowledgment of inherent risks of climbing, boat travel, and international outdoor activity

• Assumption of those risks by the guest

• Release and indemnification of Tsopani, its guides, subcontractors, and partners (to the maximum extent permitted by applicable law)

• Handling of gross negligence and willful misconduct carve-outs

• Separate signed waiver at check-in in addition to acceptance of these Terms

10. Photography, video, and likeness

Tsopani, or media professionals engaged by Tsopani, will photograph and film during the trip for use in Tsopani marketing, editorial, and brand materials.

By joining a Tsopani Field Trip you grant Tsopani a non-exclusive, worldwide, royalty-free, perpetual license to use your name, image, likeness, and voice as captured during the trip, in any media now known or later developed, for Tsopani's brand and marketing purposes.

You may opt out of identifiable use of your image by notifying us in writing before trip start. We will make reasonable efforts to accommodate opt-outs but cannot guarantee exclusion from group or crowd shots.

11. Guest conduct

You agree to conduct yourself in a manner that does not endanger, harass, or unreasonably inconvenience other guests, our staff, our partners, or the communities we travel through. Illegal drug use is not permitted. Excessive alcohol consumption that compromises safety or the group experience is grounds for removal without refund.

We reserve the right, in our sole discretion, to remove any guest whose conduct is inconsistent with this section. No refund is due for removal under this section, and any costs of alternative transport or accommodation are the removed guest's responsibility.

12. Limitation of liability

[Specialist drafting required. Counsel to address: (a) maximum monetary liability cap — commonly set at the price paid for the trip; (b) exclusion of consequential, incidental, and indirect damages; (c) interaction with any mandatory consumer-protection minimums in applicable jurisdictions.]

13. Third-party providers

We use independent local partners for accommodations, transport, boat operations, and some activities. Those partners are not our employees or agents. While we select partners with care, we are not responsible for the acts or omissions of third-party providers except as required by applicable law.

[Legal note for counsel: this clause is likely limited or unenforceable under EU package-travel law, which typically holds the package organizer responsible for the performance of the package regardless of who actually delivers each service. Draft in view of that regime.]

14. Force majeure

Neither party is liable for failure or delay in performing under these Terms to the extent caused by events outside its reasonable control, including natural disaster, war, civil unrest, epidemic or pandemic, government action, border closure, transportation disruption, or acts of terrorism.

In the event of a force majeure cancellation by us, §5 applies (full refund or credit at guest's election).

15. Governing law and dispute resolution

These Terms are governed by the laws of [State of ___], without regard to conflict-of-laws principles.

16. Changes to these terms

We may update these Terms from time to time. The Terms that apply to your reservation are those in effect on the date you booked, except that any changes required by law apply immediately.

17. Contact and notices

Written notices to Tsopani should be sent to [legal notice address] and copied to [email]. Notices to you will be sent to the email address you provided at booking; it is your responsibility to keep that address current.
